Introduction and Acceptance

Beagle Learning, LLC ("Company," "We," or "Us") takes your privacy seriously. We want you to understand what information we collect, what we do with it and how We will safeguard the information. This policy therefore, describes: (1) the types of information We may collect from you or that you may provide when you visit www.beaglelearning.com including any content, functionality and services offered on or through it and any related mobile application (our "Site"), whether or not as a guest or a registered user; and (2) our practices for collecting, using, maintaining, protecting, and disclosing that information. By using the Site, you accept and agree to be bound and abide by this Privacy Policy, our Terms of Use, and any other policy, documentation, agreement, or direction from Us (each a "Beagle Policy" and collectively the "Beagle Policies"). YOU SHOULD CAREFULLY READ THE BEAGLE POLICIES BEFORE USING THE SITE. BY CLICKING THE ACCEPTANCE BUTTON, INSTALLING THE SITE, AND USING ANY MATERIALS, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT AND ALL OF THE BEAGLE POLICIES. WE MAY AMEND ANY BEAGLE POLICY PURSUANT TO ITS TERMS.

Beagle provides an online learning platform for educators, post-secondary students, corporations and others ("Authorized Users") that fits how human brains naturally learn - by asking questions, doing research, and building a new understanding based on those findings. The Site provides certain software tools ("Tools") that allow Authorized Users to upload, create, view, and share content on the Site ("User Generated Content"). The Site may contain message boards, chat rooms, personal web pages, profiles, forums, bulletin boards and other interactive features that enable interaction, submission, publication, display, and transmission through the Site ("User Contributions"). An Authorized User’s ability to create, use, maintain, or interact with the User Generated Content, and User Contributions ("Site Content") may be limited. Some Accounts may have limitations on Site Content and some premium features may be reserved to paid user accounts. Any such premium or paid features may have additional eligibility terms or usage requirements. The Site uses natural language processing systems that, together with a cloud-based neural network, quantify and qualify engagement, quality, understanding, focus, and efficacy ("User Metrics"). User Metrics are available for analysis on an individual basis to certain Authorized Users including, without limitation, educators ("Personal Metrics").

The Family Educational Rights and Privacy Act ("FERPA"); Protection of Pupil Rights Amendment ("PPRA"); state and local laws, regulations, and codes; any applicable educator rules and guidelines; and best practices (collectively "Educator Restrictions") govern the use, handling, and disclosure of certain Site Content and Personal Metrics, as well as Personally Identifiable Information and Education Records (each defined in FERPA) (together, the "Restricted Data"). In accordance with Educator Restrictions, You may be required to sign or click your consent and acceptance of these terms, including our handling of Restricted Data ("Informed Consent"), prior to using the Site. All Authorized Users must be compliant with Educator Restrictions and have signed a valid Informed Consent where necessary prior to using the Site. Questions or communication about possession, control, or transfer of an Authorized Users Education Records should be directed to the educator.

Site Accounts

The Site is offered and available to users who are 13 years of age or older and reside in the United States or any of its territories or possessions. Any registration, use, or access to the Site by anyone under 13 years of age is unauthorized, unlicensed, and in violation of the Beagle Policies. Users under 18 years of age must be an emancipated minor or possess legal parental or guardian consent, and must be fully able and competent to enter into the Beagle Policies including all conditions, obligations, affirmations, representations, and warranties of any Beagle Policies. By using this Site, you represent and warrant that you are able to form a binding contract or have permission to do so, with the right and authority to bind you or any applicable entity, and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site.

Authorized Users may be given access to certain password protected areas of the Site by registering for an "Account". To create an Account, you may be asked to provide certain registration details including, without limitation, name, postal address, e-mail address, telephone number, and photo or other information. It is a condition of your use of the Site that all the information you provide on the Site is correct, current, and complete. You agree that all information you provide to register with this Site or otherwise, including, but not limited to, through the use of any interactive features on the Site, is governed by our Beagle Policies, and you consent to all actions We take with respect to your information consistent with Beagle Policies.

This policy applies to:

  • Site Content - User Generated Content and User Contributions;
  • User Metrics;
  • Restricted Data – Personally Identifiably Information, Education Records (defined by FERPA), Personal Metrics and certain Site Content;
  • De-identified Data (defined below);
  • And other information We collect on this Site, in email, text, and other electronic messages related to Us or the Site, and through mobile and desktop applications downloaded from the Site; including
  • By which you may be personally identified, such as name, postal address, e-mail address, telephone number; and
  • About your internet connection, the equipment you use to access our Site and usage details.

It does not apply to information collected by:

  • Us offline or through any other means, including on any other website operated by Company or any third party (including our affiliates and subsidiaries); or
  • Any third party (including our affiliates and subsidiaries), including through any application or content (including advertising) that may link to or be accessible from or on the Site.

Information Provided to Us

Any information provided to us by user of the Site, regardless if they are an Authorized User or the user whose information is being provided.

  • Any information provided through forms on the Site or uploaded to an Account, including at the time of registration.
  • Any Site Content or information provided through use of the Tools.
  • We may ask you for information if you report a problem with the Site.
  • We may keep records and copies of your correspondence (including email addresses), if you contact Us.

Information We Collect Through Automatic Data Collection Technologies:

As you navigate through and interact with our Site, We may use automatic data collection technologies to collect certain information about your equipment, browsing actions, and patterns, including:

  • Details of your visits to our Site, including traffic data, location data, logs, and other communication data and the resources that you access and use on the Site.
  • Information about your computer and internet connection, including your IP address, operating system, and browser type.

The information We collect automatically is statistical data and does not include Restricted Data, but We may maintain it or associate it with Restricted Data We collect in other ways or receive from third parties. It helps Us to improve our Site and to deliver a better and more personalized service, including by enabling Us to:

  • Quantify and qualify engagement, quality, understanding, focus, and efficacy of Site Content.
  • Estimate our audience size and usage patterns.
  • Store information about your preferences, allowing Us to customize our Site according to your individual interests.

  • Recognize you when you return to our Site.

The technologies We use for this automatic data collection may include:

How We Use Your Information

We use information that We collect about you or that you provide to Us, including any Restricted Data (collectively "Use of Information"):

  • To allow educators and other Authorized Users the ability to interact with, use, and analyze certain Site Content, User Metrics, and Personal Metrics for the purpose of providing valuable data and understanding through automated critical thinking and collaboration.
  • To present our Site and its contents to you and allow you to participate in interactive features on our Site.
  • To provide you with information, products, or services that you request from Us.
  • To fulfill any other purpose for which you provide it.
  • To carry out our obligations and enforce our rights arising from any contracts entered into between you and Us, including for billing and collection.
  • To notify you about changes to our Site or any products or services We offer or provide though it.
  • In any other way We may describe when you provide the information and for any other purpose with your consent.

Disclosure of Your Information

In addition to the Use of Information section above and subject to Educator Restrictions, we may disclose Restricted Data that We collect or you provide:

  • To our subsidiaries and affiliates.
  • To other Authorized Users, contractors, service providers, and other third parties We use to support our business and who are bound by contractual obligations to keep Restricted Data confidential and use it only for the purposes for which We disclose it to them.
  • To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Company’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Restricted Data held by Company about our Site users is among the assets transferred.
  • To fulfill the purpose for which you provide it. For example, if you give Us an email address to use the "email a friend" feature of our Site, We will transmit the contents of that email and your email address to the recipients.
  • For any other purpose disclosed by Us when you provide the information.
  • With your consent or to enforce or apply the Beagle Policies.
  • To comply with any court order, law, or legal process, including to respond to any government or regulatory request.
  • If We believe disclosure is necessary or appropriate to protect the rights, property or safety of Company, our customers, or others.

We may use de-identified User Metrics and Site Content ("De-identified Data") for product development, research, or other purposes without restriction. De-identified Data will have all direct and indirect personal identifiers removed.

International Data Transfer

Beagle is headquartered in the United States. Your Restricted Data may be transferred, in accordance with this Privacy Policy, outside the country in which you reside, including to the United States, where data protection and privacy regulations may not offer the same level of protection as in other parts of the world. By using our Site and agreeing to this Privacy Policy by clicking your acceptance, you consent to this transfer or processing of your Restricted Data. We will take all steps reasonably necessary to ensure that your Restricted Data is treated securely and in accordance with this Privacy Policy.

Data Security

We have implemented measures designed to secure your Restricted Data in compliance with Educator Restrictions from accidental loss and from unauthorized access, use, alteration, and disclosure. All information you provide to Us is stored on our secure servers behind firewalls.

The safety and security of your information also depends on you. Where We have given you (or where you have chosen) a password for access to certain parts of our Site, you are responsible for keeping this password confidential. We ask you not to share your password with anyone. We urge you to be careful about giving out information in public areas of the Site like message boards. The information you share in public areas may be viewed by any user of the Site.

Unfortunately, the transmission of information via the internet is not completely secure. Although We do our best to protect your Restricted Data, We cannot guarantee the security of your Restricted Data transmitted to our Site. Any transmission of Restricted Data is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the Site.

Entire Agreement

The Beagle Policies constitute the sole and entire agreement between you and Beagle Learning, LLC with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site.

You consent to receive communications from Us in an electronic form. All terms and conditions, agreements, notices, disclosures, and other communications that We provide to you electronically satisfy any legal requirement that such communications would satisfy if it were be in a hardcopy writing. Copyright Infringement

If you believe that any Content violates your copyright, please see our Copyright Policy for instructions on sending Us a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers.

Amendment

THE BEAGLE POLICES MAY CHANGE FROM TIME TO TIME. YOUR CONTINUED USE OF THIS SITE AFTER WE MAKE CHANGES MAY BE DEEMED TO BE ACCEPTANCE OF THOSE CHANGES, SO PLEASE CHECK THE BEAGLE POLICIES PERIODICALLY FOR UPDATES. ANY SUCH AMENDMENT SHALL BE EFFECTIVE IMMEDIATELY AND APPLY TO ALL ACCESS AND USE OF THE SITE THEREAFTER. NOTWITHSTANDING THE FORGOING, WE ARE NOT OBLIGATED TO UPDATE OR AMEND ANY PART OF THE SITE AT ANY TIME. IF YOU DO NOT WANT TO AGREE TO ANY BEAGLE POLICY, AS AMENDED FROM TIME TO TIME, YOU MUST NOT ACCESS OR USE THE SITE. YOU ARE AND WILL BE RESPONSIBLE FOR ADHERENCE TO ANY AND ALL BEAGLE POLICIES UNDER YOUR ACCOUNT.
